1. INTRODUCTION

1.1 What these terms cover
Welcome to GOPLAY VENTURES LTD (“GOPLAY”, “we”, “our”, or “us”) . These Terms and Conditions govern your use of the GoPlay Pass subscription service (together the “Passes”, and individually “Pass”) to redeem your visit at our partner gyms, facilities and activities (“Partner Venues”, “Partners”, and individually “Partner”, or “Activities”). The purchaser of the GoPlay Pass subscription (“User”, and collectively “Users”) and the Partners, by accessing or using our website, mobile application, or any other services (collectively, the “Services”), agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, please do not use our Services.

1.2 What these terms do not cover.
These terms and conditions only govern your purchase of the GoPlay Pass subscription from GOPLAY. We are not responsible, nor will we accept any responsibility, for what happens when you are at our Partner Venues.

1.3 Why you should read them.
Please read these terms carefully before you submit your order for a GoPlay Pass to us. These terms tell you who we are, how you will redeem your Passes, how you and we may change or end a Pass or access to a certain Partner Venue, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us.

2. USER REGISTRATION THROUGH CORPORATE PARTNERSHIP AND SUBSCRIPTION MANAGEMENT

2.1 Company Coordination
To use the GoPlay Pass, employees of the prospective company (“Corporate Partner”, “Company”) must coordinate with their HR department or designated company representative. The company will liaise with GOPLAY to facilitate the subscription process.

2.2 Subscription Activation
GOPLAY will activate subscriptions upon receipt of an employee list from the company and subsequent payment of the issued invoice. Employees’ passes will remain active as long as the company maintains timely payments.

2.3 Subscription Modifications
Upgrades or downgrades to subscription plans must be communicated through the company’s designated representative. GOPLAY will issue a new invoice, and changes will be implemented upon payment.

2.4 Subscription Cancellations
Cancellations must be communicated via an updated employee list submitted by the company at least five (5) days before the end of the month. Subscriptions will be canceled for employees (“users”) removed from the list.

2.5 Payment Deadlines and Subscription Access
Invoices must be paid by the company before the start of the new month or at least five (5) days before the end of the month.. If payment is delayed, subscriptions will only be activated for the remaining days of the month once payment is received.

3. USE OF GOPLAY PASS

3.1 Access to Partner Venues
The GoPlay Pass allows access to Partner Venues included in the user’s subscription plan, limited to one visit per day. Availability is subject to the operating hours and capacity of the Partner Venues.

3.2 Restrictions
Certain activities may have restrictions on the number of visits per week or month, which are indicated in the GoPlay mobile app. Users are responsible for adhering to these restrictions and understanding the terms set by each Partner.

3.3 Responsibility for Partner Rules
GOPLAY is not responsible for any rules, restrictions, or changes imposed by Partners. Users must comply with the rules of the Partner Venues they visit.

4. PAYMENTS AND REFUNDS FOR CORPORATE PARTNERSHIPS

4.1 Payment Method
Payments for the GoPlay Pass must be made by the user’s company via bank transfer, following the issuance of an invoice by GOPLAY.

4.2 Refund Policy
Refunds are available if a company requests cancellation at least five (5) working days before the start of the new month. The refund will be processed promptly, subject to GOPLAY’s discretion.

4.3 Payment Disputes
In the event of a payment dispute, GOPLAY will work with the company to resolve the issue amicably. Should the dispute remain unresolved, it may be escalated to legal channels as governed by the laws of Cyprus.

5. PARTNERSHIPS WITH GYMS AND ACTIVITY PROVIDERS

5.1 Legal Agreements
GOPLAY has legally binding agreements with all Partner Venues. These agreements ensure the quality and availability of services for GoPlay Pass users.

5.2 Liability for Partner Venues Issues
All issues related to Partner Venues, including equipment failures or personal injuries, are the responsibility of the Partner. As the contract for the use of the specific facilities is between you and our Partner Venues, this will mean that we have no contractual liability to you in respect of your use of the Pass at the Partner Venues.

6. USER CONDUCT AND ACCOUNT TERMINATION

6.1 Good Faith Use
Users must use the GoPlay Pass in good faith and in accordance with these Terms and Conditions. Abuse or exploitation of the system, including fraudulent check-ins, will result in immediate account termination.

6.2 Termination and Liability
GOPLAY reserves the right to terminate a user’s account without notice in cases of suspected misuse. Users may also face legal action and be held liable for any damages or losses incurred by GOPLAY as a result of their actions.

6.3 Partner Venues Misconduct
Partner Venues are subject to the same standards. Misuse of GOPLAY’s system by Partners will result in termination of their partnership and potential legal consequences.

7. LIABILITY AND DISCLAIMERS

7.1 Limitation of Liability
GOPLAY shall not be held liable for any direct or indirect damages, losses, or injuries arising from the use of the GoPlay Pass, including but not limited to issues related to Partner Venues operations.

7.2 No Guarantees
GOPLAY does not guarantee uninterrupted access to gyms or activities. Users acknowledge that participation in physical activities carries inherent risks, and GOPLAY is not responsible for any injuries sustained.

7.3 Force Majeure
GOPLAY is not liable for any failure to perform its obligations due to events beyond its control, including but not limited to natural disasters, pandemics, or governmental actions.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 Governing Law
These Terms and Conditions are governed by the laws of Cyprus. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Cypriot courts.

8.2 Dispute Resolution
In the event of a dispute, the parties agree to attempt resolution through mediation. If mediation fails, the dispute will be submitted to arbitration under Cypriot law. The arbitrator’s decision will be final and binding on all parties.
